The rules for using MovTide

These terms are written for the recruiting teams that use MovTide and reflect the product’s information, visibility, and human-review boundaries.

1. Agreement to these Terms

These Terms of Service (the “Terms”) govern your access to and use of MovTide’s websites, applications, and related services (the “Service”). By using the Service, you agree to these Terms. If you use MovTide for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree, do not use the Service.

2. Approved access and accounts

You must be at least 18 years old and legally able to enter into these Terms. You must provide accurate account information, protect access to your Google account and MovTide session, and promptly notify us of suspected unauthorized use.

Access requires an approved Google account or a one-time access code. A code works once and becomes associated with the first verified Google account that redeems it. Codes may not be sold, transferred, or used to bypass access controls. You are responsible for activity performed through your account unless caused by MovTide’s breach of these Terms.

3. The current Service

MovTide gives approved recruiting users app access to reviewed workforce events. The current app covers layoffs and full-company shutdowns. It may show an event headline, company, location, people-affected count, and a list of people who may have been impacted.

When available, a likely-impacted record may show the person’s name, role, location, and a link to a professional LinkedIn profile. The app does not provide profile uploads, contact-data reveals, messaging, or automated outreach. Public landing-page examples are fictional and illustrative; they do not represent live events or people.

4. Information limits and human judgment

Important: workforce events, people-affected counts, and likely-impact assessments may be incomplete, delayed, disputed, or wrong. “Likely impacted” does not confirm that a person was laid off, is seeking work, or is available. Verify material facts directly before acting.

MovTide does not provide legal advice, background checks, consumer reports, employment-eligibility determinations, or hiring recommendations. The Service is a research tool and does not replace your independent judgment, lawful recruiting process, or direct confirmation with a person.

5. Responsible use

You may use the Service only for lawful business recruiting and workforce-intelligence purposes. You agree not to:

  • use MovTide data as a consumer report or as the sole or determinative basis for an employment, credit, housing, insurance, or similar eligibility decision;
  • claim that a person was laid off, is open to work, or consented to contact unless you have separate reliable evidence;
  • discriminate, harass, surveil, profile for sensitive traits, or violate employment, privacy, anti-discrimination, communications, or data-protection law;
  • scrape, use automated or unauthorized extraction tools, resell, sublicense, publish, or build a competing database from the Service;
  • circumvent access, rate, suppression, or security controls;
  • reverse engineer, disrupt, probe, or introduce malicious code into the Service, except where law expressly permits security research.

You are responsible for your recruiting practices, outreach, notices, consents, and compliance with laws that apply to your organization.

6. Information you provide

You may provide an email address and optional name when joining the waitlist, a Google account identity when signing in, a display name in account settings, and information in support requests or feedback. You represent that this information is accurate and that you have the right to provide it.

You retain any rights you have in information you provide. You permit MovTide to host, reproduce, and process it only as needed to operate, secure, support, and improve the current Service, respond to you, and comply with law.

7. Third-party links and services

MovTide uses Google for account authentication and may link to LinkedIn professional profiles. Those products and sites are governed by their own terms and privacy practices, and MovTide is not responsible for third-party services outside our control.

Links are provided for convenience, not as an endorsement, instruction to contact, or guarantee of accuracy.

8. Ownership and feedback

MovTide and its licensors own the Service, including its software, interface, compilation, branding, and documentation, excluding information you provide and third-party material. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Service during your authorized access.

If you provide feedback, you grant MovTide permission to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

9. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create security or legal risk, misuse personal information, or no longer meet the approved-access requirements. Where practical, we will provide notice and an opportunity to cure.

Sections that by their nature should survive termination—including ownership, disclaimers, liability limits, indemnity, and dispute provisions—will survive.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MOVTIDE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE.

No event record, people-affected count, or likely-impacted record guarantees a factual conclusion or recruiting outcome. You assume the risk of relying on information from the Service.

11. Limits on liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOVTIDE AND ITS AFFILIATES, PERSONNEL, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOVTIDE’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED US $100. These limits do not apply where liability cannot lawfully be limited.

12. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless MovTide and its affiliates and personnel from third-party claims, losses, and reasonable costs arising from information you provide, your outreach or employment practices, unlawful use of personal information, or violation of these Terms or applicable law.

13. Disputes and governing rules

Before filing a claim, each party agrees to give the other written notice and 30 days to try to resolve the dispute informally. Send notices to exiang@tsunacle.io.

These Terms are governed by applicable United States law and the law of the state in which MovTide is principally established, without regard to conflict-of-laws principles. Courts with jurisdiction over MovTide’s principal place of business will have exclusive jurisdiction, unless applicable law requires another forum. Nothing in these Terms limits non-waivable consumer rights.

14. Changes to these Terms

We may update these Terms as the Service or law changes. We will post the updated Terms and revise the date above. If a change materially reduces your rights, we will provide additional notice when reasonably practical. Continued use after the effective date means you accept the updated Terms.
